Terms of service

Overview

Registered users of the platform are allowed to buy and sell Yodibles on Yodl. During the free registration process, you agree to provide us with accurate, complete, and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for maintaining your account information including but not limited to your personal, professional, or business information that is required by Yodl or any third-party service used by Yodl. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password, one-time-password, or login links. We are not liable for any acts or omissions by you in connection with your account. Failure to provide or update any account information may result in the suspension of your account or payment services, such as payouts.

Yodibles are offered starting at $5. Consumers must pay in advance to create a purchase for a Yodible. Experts must fulfill their services, and may not cancel services on a regular basis. Canceling services may affect Experts' reputation and status. Users may not offer or accept payments using any method other than placing an order through Yodl. Users are responsible for agreeing to any ownership or licensing rights related to deliverables or services. Yodl is not responsible for arbitrating, handling, or verifying any rights related to a Yodible or user.

Experts

Your relationship with Yodl is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Yodl, except that Yodl acts as a payment collection and distribution agent. Yodl does not direct or control your Yodibles, and you agree that you have complete discretion whether and when to provide Yodibles, and at what price and on what terms to offer them.

Experts are ranked in search results on the Platform based on two factors:

• Search relevancy with tags and Yodible names
• A score with two variables: current rating and total review count.

Managing Yodibles

As a Expert, Yodl offers you the tools and right to use the Platform to set up, share, and manage your Yodibles with our community of users - and earn money doing it. It's easy to create a Yodible and you are in control of how you provide the service - set your price, availability, and rules for each Yodible.

Scheduling Sessions

When you accept a Session request or receive a Session confirmation through the Platform, you are entering into a contract directly with the Consumer, and are responsible for delivering the service under the terms and at the price specified in your Yodible.

Video Calls & Messaging

The Platforms provides tools that make it easy for you to video chat in Sessions. Sessions must be related to the purchase of a Yodible, and take place at or near the scheduled time. Sessions cannot be conducted on other Platforms.

To protect our users' privacy, user identities are kept anonymous. Requesting or providing Email addresses, Skype/IM usernames, telephone numbers, or any other personal contact details to communicate outside of the Platform in order to circumvent or abuse the Platform’s messaging system is not permitted. Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.

Cancellations

Both Experts and Consumers are permitted to cancel an Session if the Session is not opened or has not started. An Session can be canceled/refunded automatically if the Expert doesn't confirm the Session by the scheduled start time of the Session.

Disputes

Consumers are permitted to dispute an Session. Disputes are handled on a case-by-case basis with the Yodl Support team. Resolved disputes may or may not lead to a partial or full refund to the Consumer. Disputes will be handled on a first-come, first-serve basis and as quickly as Yodl can process the disputes. The following conditions are required for a dispute to be opened.

• Sessions must be marked completed.
• The dispute is opened within 24 hours of the Session being marked complete
• Only Consumers can open disputes

We encourage our Expert and Consumers to try and settle conflicts amongst themselves. If for any reason this fails or if you encounter non-permitted usage on the Platform, users can contact the Yodl Support team for assistance.

Refunds

Yodl performs refunds for Disputes, Cancelations, and unconfirmed Sessions. Disputes are refunded on a case-by-case basis. Unconfirmed Sessions are refunded automatically by the Platform. Refunds for Cancelations are granted under the following conditions:

• For Expert-initiated cancelations before the scheduled start time.
• For Consumer-initiated cancelations 24 hours before the scheduled start time.

Refunds are paid to the source of the payment. If the refund fails, Yodl will make multiple attempts to contact the Consumer based on the information provided.

Credits and Gift Card purchases cannot be refunded.

Reviews

Within 24 hours of each Session being marked complete, Consumers will have an opportunity to review the Expert, Yodible, or Session. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Terms. Reviews are not verified by Yodl for accuracy and may be incorrect or misleading. Yodl doesn't mediate disputes concerning the truth of reviews.

Reviews are publically accessible.

Payments

Consumers pay Yodl to book a Session based on a Yodibles price and a Expert's availability. Yodl partners with Stripe for the purposes of collecting all payments from Consumers, transferring such payments from Consumer to Experts, and holding funds in connection with Yodl Balances. All payments services in connection with the collection of funds on the Platform are performed by Stripe.

Payments for Sessions come in the form of Debit/Credit Cards or through your Yodl Balance. Yodl Balance is the aggregate value of the credits purchase through the Platform and any refunds from Sessions.

Yodl is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you.

Payout

Payouts are transfers from a Expert's Earnings Account to their external bank account. Payouts may be disabled by Yodl for various reasons, including but not limited to missing, outdated, incorrect personal or business information, suspicious activity, or external bank connectivity issues. Some payouts may initially be marked as “paid”, but later revised to “failed” under some circumstances. Experts are responsible for keeping their personal or business information current and correct. The Platform will notify Experts when their payouts have been disabled.

Experts will still be able to conduct Sessions even when the payouts are disabled. They will be responsible for manually initiating a new payout after their payouts are re-enabled.

You are also agreeing to pay applicable fees such as any platform fees (and applicable taxes) for each Session. The Platform will deduct amounts you owe from your payout unless we and you agree to a different method.

Payouts are performed manually by Experts. A minimum of $25.00 USD is required to request a payout. A payout can be requested once every 7 days, this excludes any failed payout attempt. Earnings will become "available" after the Session is marked complete and the money has settled in the Expert's Stripe connect account. If a Expert does not mark an Session complete, the Platform will mark the Session as complete 24 hours after the start of the Session.

Content

Parts of the Platform enable you to provide feedback, text, photos, audio, video, information, and other content (collectively, “Content”). By providing Content, in whatever form and through whatever means, you grant Yodl a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Terms which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content.

Fees & Taxes

• Each Session Experts sell and successfully complete, accredits Experts' account with revenue equal to 90.0% of the purchase amount, unless otherwise specified by the Platform.
• Purchasing processes fees include 2.9% of the total amount + $0.30 fixed cost to be added to the purchase amount.
• Payout processing fees include 0.25% of the total amount + $0.25 fixed cost deducted from the total earnings amount.
• Yodl may be required by applicable laws to charge users with indirect taxes (such as Sales Tax, VAT, or GST) or to withhold taxes. Any amount the Platform will be required to collect will be in addition to the purchase amount and any other fees payable by the Consumer, and any amount Yodl will be required to withhold will be deducted from the Experts's revenue, as required by applicable laws.
• Indirect taxes are in addition to the price shown on the site, and in any event, any such taxes will always be displayed to the Consumer before payment.
• Users are responsible for paying any direct or indirect taxes, including any GST, VAT, or income tax, which may apply to them depending on residency, location, or otherwise, under provisions of their jurisdiction.
• Yodl may make changes to the fee structure from time to time. When these changes are made, Yodl will make a new copy of the terms available on this page.
• You understand and agree that if you use Yodl after the date on which the fee structure have changed, Yodl will treat your use as acceptance of the updated the fee structure.

Violations

Users may receive a warning to their account for violations of our Terms of Service or any user misconduct reported to our Support team. A warning will be sent to the user's email address. Warnings do not limit account activity, but can lead to your account losing Expert statuses or becoming permanently disabled based on the severity of the violation.

Non-Permitted Usage

• Adult Services & Pornography - Yodl does not allow any exchange of adult oriented or pornographic materials and services.
• Inappropriate Behavior & Language - Communication on Yodl should be friendly, constructive, and professional. Yodl condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate and review Sessions.
• Phishing and Spam - Users' security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member's account or computer environment is strictly prohibited. Please respect our users privacy by not contacting them with offers, questions, suggestions, or anything which is not directly related to their Yodibles or Sessions.
• Privacy & Identity - You may not publish or post other people's private and confidential information. Any users who engage and communicate off of Yodl will not be protected by our Terms of Service.
• Authentic Yodl Profile - You may not create a false identity on Yodl, misrepresent your identity, create a Yodl profile for anyone other than yourself (a real person), or use or attempt to use another user's account or information; Your profile information, including your description, skills, location, etc., while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Yodl reserves the right to require users to go through a verification process in order to use the Platform (whether by using ID, phone, camera, etc.).
• Intellectual Property Claims - Yodl will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party's terms of service.
• Fraud / Unlawful Use - You may not use Yodl for any unlawful purposes or to conduct illegal activities.

Abuse and Spam

• Multiple Accounts - To prevent fraud and abuse, users are limited to one active Yodl account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Yodl community will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations of Yodl's Terms of Service is a cause for permanent suspension of all accounts.
• Targeted Abuse - We do not tolerate users who engage in targeted abuse or harassment towards other users on Yodl. This includes creating new multiple accounts to harass users through our message system or Sessions.
• Selling Accounts - You may not buy or sell Yodl accounts.

Limitations on Liability

IN NO EVENT WILL YODL, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
